Terms of Use

• Termination TapTrove reserves the right, in its sole discretion, to terminate your access to the Site and the related services or any portion thereof at any time, without notice, for any reason or no reason, including, without limitation, if you violate these Terms. Upon termination, your right to use the Site will immediately cease, and TapTrove may deactivate or delete your account and all related information and files in your account and/or bar any further access to such files or the Site.
• User Conduct You agree not to engage in any of the following prohibited activities:
  1. Use the Site in any manner that could interfere with, disrupt, negatively affect, or inhibit other users from fully enjoying the Site or that could damage, disable, overburden, or impair the functioning of the Site in any manner.
  2. Use the Site to collect any personally identifiable information, including account names, email addresses, or other such information, for commercial purposes.
  3. Use the Site to engage in any illegal or fraudulent activities or to promote, facilitate, or encourage any illegal or fraudulent activities.
  4. Use the Site to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability.
  5. Use the Site to upload, post, transmit, or otherwise make available any content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
  6. Impersonate or use the identity of another person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
  7. Use any automated system, including without limitation "robots," "spiders," "offline readers," etc., to access the Site in a manner that sends more request messages to the TapTrove servers than a human can reasonably produce in the same period of time by using a conventional online web browser.
  8. Attempt to interfere with, compromise the system integrity or security, or decipher any transmissions to or from the servers running the Site.
• Entire Agreement These Terms constitute the entire agreement between you and TapTrove regarding your use of the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding such subject matter.
• Severability If any provision of these Terms is found to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions will not in any way be affected or impaired and will be interpreted to give maximum effect to the intent of the parties.
• Amendments TapTrove reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
• Language These Terms may be translated into other languages for convenience or legal requirements. In the event of a conflict between a translated version of these Terms and the English language version, the English language version shall govern.
• Relationship Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and TapTrove.
• Force Majeure TapTrove shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond TapTrove's reasonable control, including but not limited to power outages, internet service provider failures, natural disasters, or acts of government or regulatory authorities.
• Headings The headings in these Terms are for convenience only and shall not affect the interpretation of the provisions herein.
• No Third-Party Beneficiaries These Terms are for the benefit of you and TapTrove and are not intended to benefit any third party or be enforceable by any third party. The exercise of TapTrove's and your rights in relation to these Terms is not subject to the consent of any third party.
• Electronic Communications By using the Site, you consent to receive electronic communications from TapTrove. These communications may include notices about your account and information concerning or related to the Site. You agree that any notices, agreements, disclosures, or other communications that we send to you electronically will satisfy any legal communication requirements, including that such communications be in writing.
• Entire Agreement These Terms constitute the entire agreement between you and TapTrove regarding your use of the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding such subject matter.
• Acceptance of Terms Your continued use of TapTrove constitutes acceptance of these Terms of Use. If you do not agree to these Terms, please refrain from using the TapTrove website and its services.
• Modifications to Terms TapTrove reserves the right to modify, amend, or update these Terms at any time without prior notice. It is your responsibility to review these Terms periodically for changes. Your continued use of TapTrove following the posting of any changes constitutes acceptance of those changes.
• Severability If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions shall continue to be valid to the fullest extent permitted by law.
• Waiver of Class Action You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. By using TapTrove, you waive any right to participate in any class action lawsuits, class-wide arbitrations, or any other consolidated or representative proceedings.
• Reservation of Rights TapTrove reserves all rights not expressly granted in these Terms. Nothing in these Terms shall be construed as conferring any license or right, by implication, estoppel, or otherwise, under copyright or other intellectual property rights.
• No Agency No agency, partnership, joint venture, employee-employer, or franchisor-franchisee relationship is intended or created by these Terms. You agree that you do not have any authority to bind TapTrove in any way.
• Third-Party Beneficiaries These Terms do not confer any rights, remedies, or benefits upon any person other than you and TapTrove, except as expressly provided herein.
• Captions The headings and captions in these Terms are for convenience only and shall not affect the interpretation of these Terms.
• Counterparts These Terms may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
• Entire Agreement These Terms constitute the entire agreement between you and TapTrove regarding the use of TapTrove, superseding any prior agreements between you and TapTrove.
• Binding Agreement By accessing or using TapTrove, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use. If you do not agree to these Terms, you may not access or use TapTrove.
• No Waiver The failure of TapTrove to enforce any provision of these Terms shall not be deemed a waiver of such provision or any other provision herein.
• No Endorsement TapTrove does not endorse, guarantee, or assume responsibility for any third-party product or service advertised or offered through TapTrove or any linked website or service.
• Feedback If you provide TapTrove with any feedback or suggestions regarding TapTrove, you hereby grant TapTrove a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such feedback.
• No Reliance You acknowledge and agree that your use of TapTrove is at your own risk. TapTrove provides the services on an "as is" and "as available" basis, without any warranties of any kind, express or implied.
• Equitable Relief You acknowledge that a breach of these Terms of Use may cause irreparable harm to TapTrove for which monetary damages would not be an adequate remedy and agree that, in the event of such breach or threatened breach, TapTrove shall be entitled to seek equitable relief, including injunctive relief and specific performance, without the requirement of posting a bond or other security, in addition to any other remedies available at law or in equity.
• No Third-Party Beneficiaries These Terms of Use are for the sole benefit of you and TapTrove and shall not confer any rights or remedies upon any third party.
• Interpretation The language used in these Terms of Use will be deemed to be the language chosen by the parties to express their mutual intent, and no rule of strict construction will be applied against any party.
• Further Assurances You agree to execute any and all documents and take any other actions reasonably required to effectuate the purposes of these Terms of Use.
• Independent Contractors Nothing contained in these Terms of Use shall be construed as creating any agency, partnership, joint venture, or other form of joint enterprise between you and TapTrove.
• Assignment You may not assign or transfer these Terms, or any of your rights or obligations herein, without the prior written consent of TapTrove. Any attempted assignment in violation of these Terms shall be null and void.
